1. Definitions

In these Terms & Conditions ("Terms") we refer to KG3 Computer Trading as "we", "us", or "our" and to any website visitor, customer, or account holder as "you" or "your".

• Customer means a natural person or legal entity purchasing Products or using the Services.
• Products covers hardware, software, peripherals, accessories, or other inventory listed on the website or in stores.
• Order is a request you submit to buy Products, subject to review and acceptance.
• Delivery Address is the location you nominate for receipt of Products.
• Force Majeure captures circumstances beyond our reasonable control such as natural disasters, government restrictions, transport delays, or widespread outages.

2. Eligibility and capacity

• You confirm you are at least 18 years old and legally capable of entering into binding agreements under Philippine law, or you have parental or guardian consent.
• If you transact on behalf of a business or organization you warrant you have authority to bind that entity to these Terms.

3. Ordering and contract formation

• All Orders require our acceptance. We may decline or cancel an Order for reasons such as stock unavailability, pricing errors, verification concerns, or suspected fraud.
• A sales contract forms only once we issue an order confirmation by email, SMS, or dashboard notification.
• We may request additional verification before dispatch, including valid IDs, payment proof, or company authorization.

4. Prices, payment, and taxes

• Unless stated otherwise, prices are in Philippine Peso (PHP) and include VAT where applicable.
• Prices may change without notice, but confirmed Orders remain at the agreed price unless a manifest error is identified.
• We accept the payment methods listed during checkout and may require full or partial payment prior to shipment.
• You bear any bank, remittance, or transaction fees charged by your provider unless we state otherwise.
• For cross-border deliveries, you are responsible for any import duties, tariffs, or local taxes imposed by destination authorities.

5. Delivery, risk, and title

• Delivery timelines are estimates and may shift due to courier capacity, weather, or other logistical conditions.
• Risk of loss or damage transfers to you upon delivery to the Delivery Address or collection point you specified.
• Title remains with KG3 until full payment for the Order is received and cleared.

6. Returns, refunds, and warranty

• Our separate Return Policy and Warranty Policy explain eligibility criteria, timelines, and documentation requirements. By ordering you agree to those policies.
• Manufacturer warranties apply where offered. Follow the instructions in the documentation or contact us for assistance.
• We honor statutory consumer rights and process approved refunds or replacements as quickly as practicable.

7. Product information and promotions

• We strive for accuracy in descriptions, photos, and specifications but minor variations may occur.
• Colors and finishes displayed on-screen can differ slightly from physical Products due to display settings.
• Promotions, bundles, or discount codes operate under these Terms and any specific promotion rules. We may modify or end offers unless prohibited by law.

8. User accounts and security

• Provide accurate, up-to-date account information and promptly update it if anything changes.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account unless caused by our negligence.
• Inform us promptly of any unauthorized access or suspected compromise so we can help secure the account.

9. Intellectual property

• Website content, logos, trade names, graphics, and documentation are owned by or licensed to KG3 unless credited otherwise.
• You may not copy, modify, distribute, or reuse content without written permission except where legally permitted.
• By submitting feedback or suggestions you grant us a perpetual, royalty-free license to use that feedback without additional compensation.

10. Limitation of liability and disclaimers

• To the fullest extent allowed by law we are not liable for indirect, incidental, consequential, or punitive damages such as lost profits or data.
• Unless expressly stated, Products are provided "as is" and "as available", and implied warranties are disclaimed where legally permitted.
• Nothing in these Terms limits liability for fraud, death, personal injury, or other matters that cannot be excluded under Philippine law.

11. Indemnification

You agree to defend, indemnify, and hold harmless KG3, its officers, employees, affiliates, and partners from claims, damages, or expenses arising from your breach of these Terms, misuse of the Services, unlawful conduct, or inaccurate submissions.

12. Suspension and termination

• We may suspend or terminate access to the Services for policy violations, suspected fraud, inactivity, security concerns, or compliance requirements.
• Upon termination your access stops immediately, but obligations that logically survive (warranties, indemnities, payment duties) remain in force.

13. Governing law and dispute resolution

• These Terms are governed by the laws of the Republic of the Philippines.
• Disputes arising from the Terms fall under the exclusive jurisdiction of the competent courts in Quezon City.
• Before litigation, both parties agree to attempt amicable resolution, including mediation or alternative dispute processes where practical.

14. Force majeure

We are not liable for delays or failures caused by Force Majeure events. We will notify affected customers and work to mitigate impact as soon as reasonably possible.

15. Updates to these terms

We may revise these Terms at any time. The effective date above reflects the latest revision. Continued use of the Services after changes take effect signifies acceptance of the updated Terms.

16. Severability and waiver

• If any provision is found invalid or unenforceable, it will be modified or severed to the minimum extent required, and the remaining provisions stay in effect.
• Failure to enforce a right or provision does not constitute a waiver of that right or any other provision.

17. Third-party links and services

• We are not responsible for third-party sites, services, or content linked from our platform. Use them at your own discretion.
• Transactions processed through external gateways or partners are also subject to their respective terms and privacy notices.

18. Privacy and data protection

• Our Privacy Policy explains how we handle personal data. By using the Services you consent to that policy.
• We comply with the Data Privacy Act of 2012 and applicable regulations when processing customer information.
